Terms and Conditions
Welcome to Yarn, a digital health application provided by Yarn Speech Pty Ltd (referred to as "we", "us", or "our"). By accessing or using Yarn ("the App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with these Terms, you must not use the App.
YARN SPEECH DOES NOT PROVIDE EMERGENCY CARE. IF YOU THINK YOU ARE FACING AN EMERGENCY, PLEASE DO NOT RELY ON THE COMPANY FOR HELP. IMMEDIATELY CALL 000 OR GO TO YOUR NEAREST EMERGENCY ROOM.
These Terms are governed by the laws of Australia and apply to all users of the App, including those who are merely viewing content and those who have subscribed to our services.
The web is an evolving medium. If we change these Terms in the future, we will update the “Effective Date” to reflect the date of the changes. If we make material changes to these Terms, we will make reasonable attempts to notify you, such as by posting a notice in our Application or on our website. By continuing to access or use the Services after we post such changes, you agree to the modified Terms.
1. Eligibility
To use the App, you must be at least 18 years old or have the consent of a parent or guardian. By using the App, you confirm that you meet this requirement. Parents or legal guardians may subscribe to the service on behalf of their children. Children may use the service only under the supervision of the subscribing parent or guardian.
2. Account Registration
To access certain features of the App, you must create an account. You agree to:

Provide accurate, current, and complete information during the registration process.

Maintain the security of your password and accept all risks of unauthorised access to your account.

Notify us immediately of any breach of security or unauthorised use of your account.
3. Subscriptions and Fees
Yarn operates on a subscription model. By subscribing to our services, you agree to:

Pay all applicable fees as described during the subscription process

Provide a valid payment method and authorise us to charge it for all fees incurred under your account.

Subscriptions purchased through the Apple App Store or Google Play Store will be billed through your respective store account.

Your subscription will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.

Your account will be charged for renewal within 24 hours prior to the end of the current period.

You can manage and cancel your subscription by going to your Account Settings in the App Store or Google Play Store after purchase.

Deleting the App does not automatically cancel your subscription. You must cancel your subscription through the respective store to avoid being charged.
You may cancel your subscription renewal through your User Account Settings screen on your iOS device. You will not receive a refund for the fees you already paid for your current subscription period, and you will be able to access the Service until the end of your current subscription period.
All billing for apps purchased through the Play or App Stores are handled via Apple Inc or Google and are therefore subject to their terms and conditions.
4. Price Changes
The Company, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.
The Company will provide You with reasonable prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.
5. Free Trials
We may offer free trials of our subscription services. If you sign up for a free trial, you agree to these Terms and understand that:

Free trials are for new subscribers only.

We may require you to provide a payment method to start the free trial.

If you do not cancel the subscription before the end of the free trial period, you will be charged the applicable subscription fee.
6. Payment Processors
All financial transactions made in connection with the Service will be processed by a third party in accordance with their respective terms of use, privacy policy, and/or any applicable payment terms and conditions. We encourage you to learn about the practices of such third party. In no event will Yarn Speech Pty Ltd be responsible for the actions or inactions of any third party payment processor, including, but not limited to, system downtime or payment service outages.
7. Licence and Intellectual Property
We grant you a limited, non-exclusive, non-transferable licence to use the App for personal, non-commercial purposes. You agree not to:

Modify, distribute, or create derivative works based on the App.

Reverse engineer, decompile, or disassemble the App.

Use the App for any illegal or unauthorised purpose.
All content, features, and functionality of the App, including text, graphics, logos, and software, are owned by Yarn Speech Pty Ltd and are protected by Australian and international copyright laws.
8. User Content
You may be able to submit, upload, or otherwise make available content (including speech recordings and other materials) through the App. You retain ownership of your content, but by submitting it, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and distribute your content in connection with the App.
You are solely responsible for your content and agree not to upload anything that:

Violates any laws or regulations.

Infringes on the rights of any third party.

Is harmful, fraudulent, or otherwise objectionable.
9. Privacy
Your use of the App is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.
10. Disclaimer of Warranties
The App is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the App, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be error-free, secure, or available at all times.
11. Limitation of Liability
To the fullest extent permitted by law, Yarn Speech Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

Your use or inability to use the App.

Any unauthorised access to or use of our servers and/or any personal information stored therein.

Any interruption or cessation of transmission to or from the App.
12. Indemnification
You agree to indemnify and hold harmless Yarn Speech Pty Ltd, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the App or violation of these Terms.
13. Changes to the Terms
We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on the App. You are advised to review these Terms periodically for any changes. Your continued use of the App after the posting of changes constitutes your acceptance of the revised Terms.
14. App Store Terms
You represent that you are an authorised User under the Agreement. If you do not qualify as an authorised User, then you may download the Apps, but will not be able to log in.
Apple Inc. may, at any time and without notice, restrict, interrupt, or prevent use of the App(s), or delete the App(s) from your Apple device(s), or require Yarn Speech Pty Ltd to do any of the foregoing, without entitling Customer or you to any refund, credit, or other compensation from Yarn Speech Pty Ltd or any third party (including, but not limited to, Apple Inc. or your network connectivity provider).
User's and Customer's use of the App(s) must comply with the Usage Rules set forth in the Apple App Store Terms of Use, which can be viewed at: Apple App Store Terms of Use.
15. Compliance with Google Play Policies
By downloading or using Yarn ("the App"), you agree to comply with all applicable Google Play policies, including the Google Play Terms of Service and the Google Play Developer Content Policy. These policies govern the use of apps distributed through the Google Play Store, including appropriate content, user conduct, and security requirements. Any violation of these policies may result in restricted access to the App or account suspension by Google. It is your responsibility to review and adhere to these terms while using the App.
16. Termination
We reserve the right to suspend or terminate your account and access to the App at our sole discretion, without notice, if you violate these Terms or for any other reason. Upon termination, all licences and other rights granted to you in these Terms will immediately cease.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Australia.
